(on making a charitable donation)

GENERAL PROVISIONS

This public offer for a charitable donation (hereinafter referred to as the ‘Offer’), in accordance with Art. 641 of the Civil Code of Ukraine, is an offer by the Public Organisation GO GLOBAL NGO, EDRPOU 40174567, location: 1 Ivan Mazepa str. 1, Kyiv, Ukraine, 01011 (hereinafter referred to as GO GLOBAL NGO), represented by Director Kovryga Tetiana Ruslanivna, acting on the basis of the Charter, to conclude a charitable donation agreement (hereinafter referred to as the ‘Agreement’) on the terms and conditions described in this Offer with each Donor who applies.

This Offer comes into force from the moment it is posted on the website of the GO GLOBAL NGO on the Internet at the following link: www.goglobal.com.ua (hereinafter referred to as the ‘Website’). This Offer is perpetual and may be amended or withdrawn by the GO GLOBAL NGO at any time (prior to its acceptance by the Benefactor) by posting the relevant information on the Website.

GO GLOBAL NGO may enter into agreements on the provision of a charitable donation in a different manner and/or on different terms than those provided for in this Offer. The Benefactor may separately apply to the GO GLOBAL NGO to conclude such an agreement.

SUBJECT OF THE AGREEMENT

1. The subject matter of this Agreement is a free and voluntary transfer by the Donor to the ownership of the GO GLOBAL NGO of funds by making a charitable donation for the implementation of the statutory activities of the GO GLOBAL NGO. The Benefactor shall determine the amount of the charitable donation independently. The Donor shall independently determine the areas of use of the charitable donation within the framework of its statutory activities, unless otherwise determined by the Donor in accordance with the procedure set forth in this Agreement. The subject matter of this Agreement shall not be the receipt of profit directly or indirectly by any of the Parties to the Agreement.
2. The transfer of funds by the Donor under this Agreement shall be recognised as a charitable donation in accordance with Article 6 of the Law of Ukraine ‘On Charitable Activities and Charitable Organisations’.
3. At will, the Donor may specify the purpose of the charitable donation by choosing among the programmes (projects) and goals announced by the GO GLOBAL NGO.

ACTIVITIES OF THE GLOBAL

1. GO GLOBAL NGO carries out charitable activities in accordance with its Charter, in particular, promoting the information, political, economic, cultural, social and humanitarian integration of Ukraine into the world space, internal integration and reintegration of territories affected by the armed aggression of the aggressor country, raising public awareness of education and its popularisation among young people, initiating and implementing projects that contribute to the development of Ukraine and the world without barriers, creating conditions for the education of a new generation in accordance with the values of a free and open society.
2. The activities of GO GLOBAL NGO are not intended to generate profit.
3. Information about the activities of the GO GLOBAL NGO and reports on the results of such activities are published on the Website.

MAKING A DONATION

1. The Donor shall determine the amount of the charitable donation at his/her own discretion.
2. The charitable donation is voluntary and shall not be subject to further return to the Donor.
3. The charitable donation is provided by the Donors and used by the GO GLOBAL NGO to conduct and ensure the charitable activities (implementation of the directions, goals of charitable activities and charitable programmes) of the GO GLOBAL NGO in accordance with the Charter and the legislation of Ukraine. The Donor agrees to such a designation of his/her donation.
4. Methods of making a charitable donation:
   
   - one-time payment;
   - subscription, which provides for monthly/annual payments in an arbitrary amount.
   
   
5. This subscription can be cancelled at any time through the services of the user's bank (for example, Privat24, Apple Pay, Google Play, etc.).

RIGHTS AND OBLIGATIONS OF THE PARTIES

1. GO GLOBAL NGO undertakes to use the funds of the Donor's charitable donation in strict accordance with the legislation of Ukraine and only within the framework of its statutory activities.
2. GO GLOBAL NGO has the right to independently determine the areas of use of the charitable donation in accordance with its statutory activities and the legislation of Ukraine, unless the Donor has determined a specific purpose of his/her donation under a separate agreement with GO GLOBAL NGO. Thus, if the Donor does not specify the specific purpose of the charitable donation, it is considered that the donation is made for the implementation of the statutory activities of the GO GLOBAL NGO.
3. The Donor has the right to receive information about the use of his/her charitable donation. For this purpose, the GO GLOBAL NGO may post monthly financial reports on the Website, which shall include information on (i) the amounts of donations received by the GO GLOBAL NGO during the reporting period and (ii) the expenses of the GO GLOBAL NGO during the reporting period. At the written request of the Donor, the UNCG may also confirm the intended use of the charitable donation with additional documents. Access to the reports on the use of charitable donations is provided by the GO GLOBAL NGO in the manner and within the time limits provided for by the current legislation of Ukraine and this Offer.
4. By providing a charitable donation, the Donor unconditionally confirms (i) his/her legal capacity, (ii) the voluntariness of the transaction, (iii) that the subject of the charitable donation is not prohibited, arrested, pledged, encumbered by any other rights of third parties and has not been.
5. In the event that the project for which the donation was made is not implemented or the fundraising for it is closed, the balance of the funds, with the consent of the Payer, may be redistributed and used for other relevant projects of the Organisation that meet its charitable goals.
6. By making a donation to a specific project, the Payer automatically agrees to such reallocation of funds in the cases provided for in clause 5 of this offer.
7. The amount of the donation made by the Payer is non-refundable, except in cases provided for by the current legislation of Ukraine and separate agreements with the Organisation.
8. The Organisation undertakes to inform the Payers about all cases of redistribution of funds, as well as about current projects to which the balance of donations was allocated.
9. The Donor has the right to request the Organisation to provide detailed information on the use of his/her donation.

ACCEPTANCE

1. Acceptance is the full and unconditional acceptance of the Public Offer by taking actions to make a money transfer using the payment forms and means posted on the Website, as well as by transferring funds to the current account of the GO GLOBAL NGO through bank institutions. The moment of Acceptance shall be the date of the money transfer and/or crediting of funds to the bank account of the GO GLOBAL NGO.
2. Acceptance of the Offer means that the Donor agrees with all its provisions and fully understands and agrees with the subject matter of the Agreement, with the purpose of public fundraising and with the right of the GO GLOBAL NGO to use part of the Donor's Charitable Donation for the administrative expenses of the GO GLOBAL NGO, in the amount not exceeding the amount provided for by the legislation of Ukraine.
3. The Donor and the GO GLOBAL NGO, guided by Articles 639-642 of the Civil Code of Ukraine, agree that from the moment of Acceptance the Agreement shall be deemed concluded. At the same time, the Parties agree that the failure of the parties to comply with the written form of the transaction does not mean its invalidity.
   GO GLOBAL processes the personal data of the Donor provided when visiting the Website and/or making a money transfer (hereinafter referred to as personal data) for the purpose of proper implementation of this Agreement and its statutory activities. FINAL PROVISIONS

1. The provisions of the current legislation of Ukraine shall apply to the relationship between the Donor and the Global NGO.
2. The liability of the GO GLOBAL NGO for violation of this Agreement or the procedure for using charitable donations shall be on the grounds, in the amount and in the manner determined by the requirements of the current legislation of Ukraine.
3. In case of disputes between the parties to this Agreement, they shall be resolved through negotiations. If it is impossible to resolve disputes through negotiations, disputes shall be considered by the courts in accordance with the procedure established by the current legislation of Ukraine.
